These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Reliserve Corp Private Limited, trading as Griffin Consultancy ("Griffin", "we", "us", "our"), governing your access to and use of the website www.griffinconsultancy.in and all related pages, features, content, and services (collectively, the "Portal").

By accessing or using the Portal, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use of the Portal immediately.

These Terms are governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872; the Information Technology Act, 2000 ("IT Act") and the rules and regulations made thereunder; the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021; and the Digital Personal Data Protection Act, 2023 ("DPDP Act").

1. About Griffin Consultancy

Griffin Consultancy is a brand operated by Reliserve Corp Private Limited (CIN on record), a company incorporated under the Companies Act, 2013, with its registered office at 304, 3rd Floor, Laxmi Towers, Swami Vivekananda Road, Opp Junta House, Panaji – 403 001, Goa, India.

Griffin provides outsourced accounting support, business advisory, management consulting, and related professional support services primarily to Micro, Small, and Medium Enterprises (MSMEs) in India.

2. Professional Services Disclaimer

IMPORTANT — PLEASE READ CAREFULLY: Griffin Consultancy and Reliserve Corp Private Limited are NOT a law firm, NOT a Chartered Accountancy (CA) firm, and NOT a Company Secretary (CS) firm. We are not registered with the Bar Council of India, the Institute of Chartered Accountants of India (ICAI), or the Institute of Company Secretaries of India (ICSI), nor do we hold any licence to practise law, chartered accountancy, or company secretarial services under any applicable statute in India.

Nothing on this Portal, and no service provided by Griffin, constitutes legal advice, chartered accountancy services, statutory audit services, the issuance of CA certificates or audit reports, company secretarial certifications, legal representation, or any service that requires a professional licence under Indian law.

Where such services are required, Griffin may, at your request, facilitate an introduction to appropriately qualified and licensed third-party professionals; however, such introductions do not constitute an endorsement, and Griffin bears no responsibility for the advice, work, or conduct of any third-party professional.

All accounting support, tax computation, MIS reporting, and business advisory services provided by Griffin are administrative, operational, and consultative in nature and are intended to complement — not replace — the work of your licensed CA, legal counsel, or Company Secretary.

Statutory filings, audit reports, legal opinions, certificates, and similar instruments must be verified, signed off, and issued by appropriately licensed professionals. Griffin expressly disclaims any liability arising from reliance on its outputs as a substitute for licensed professional services.

3. Eligibility and User Representations

By accessing the Portal you represent and warrant that:

  • You are at least 18 years of age and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872;
  • If you are accessing the Portal on behalf of a business entity, you have the requisite authority to bind that entity to these Terms;
  • All information you provide through the Portal (including consultation intake forms, job applications, and contact enquiries) is accurate, current, and complete;
  • Your use of the Portal does not violate any applicable law, regulation, or third-party right.

4. Services Described on the Portal

The Portal describes the following categories of services offered by Griffin:

  • Outsourced Accounting & Tax Compliance — bookkeeping, TDS and GST computation and return support, MIS reporting, and related administrative support;
  • Anchor Advisory — retained multi-disciplinary business advisory and professional coordination services;
  • Financial Audit & Course Correction — internal financial review, process analysis, and strategic course correction advisory (this is not a statutory audit and does not result in the issuance of any audit report under any law).

Descriptions of services on the Portal are provided for informational purposes only. The actual scope, deliverables, timelines, and fees applicable to any engagement shall be set out in a separate written proposal and/or service agreement executed between the parties. No description on the Portal constitutes an offer capable of acceptance.

5. Consultation Scheduling

The Portal provides a consultation scheduling feature that allows prospective clients to submit an intake form and book a time slot for a discussion with Griffin's team.

Scheduling a consultation through the Portal:

  • Does not create any contractual engagement or obligation on either party;
  • Does not guarantee the availability of any specific service;
  • Is subject to Griffin's confirmation and may be rescheduled or cancelled by either party.

Any information submitted through the consultation intake form is subject to our Privacy Policy.

6. Insights / Blog Content

The "Insights" section of the Portal contains articles, commentary, and research published by Griffin's team. This content is provided for general informational and educational purposes only. It does not constitute legal, financial, tax, or professional advice of any kind.

Readers should not act or refrain from acting on the basis of any Insights content without obtaining specific professional advice relevant to their particular circumstances from a licensed professional. Griffin makes no representation or warranty as to the accuracy, completeness, or currentness of any Insights content and expressly disclaims any liability arising from reliance thereon.

7. Careers and Job Applications

The Portal may list career opportunities with Griffin from time to time.

Submitting a job application through the Portal:

  • Does not guarantee an interview, offer of employment, or any engagement;
  • Constitutes your consent to Griffin processing your personal data (including your resume and contact information) for recruitment purposes, in accordance with our Privacy Policy and the DPDP Act, 2023.

Griffin reserves the right to close, withdraw, or modify any listing at any time without notice.

8. Intellectual Property

All content on the Portal, including but not limited to text, graphics, logos, service descriptions, process frameworks, and the "Anchor Advisory" concept and materials, is the property of Reliserve Corp Private Limited or its licensors and is protected under the Copyright Act, 1957 and applicable intellectual property laws.

You may access and use Portal content solely for your personal, non-commercial informational purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Portal content without our prior written consent.

9. User Conduct

When using the Portal you agree not to:

  • Submit false, misleading, or fraudulent information through any form on the Portal;
  • Attempt to gain unauthorised access to any part of the Portal or its underlying infrastructure;
  • Use the Portal in any manner that violates the IT Act, 2000, or any applicable law;
  • Introduce any virus, malware, or other harmful code;
  • Harvest, scrape, or collect data from the Portal by automated means;
  • Use the Portal for any unlawful, abusive, or fraudulent purpose.

10. Third-Party Links and Introductions

The Portal may contain links to third-party websites or resources for your convenience. Griffin does not endorse and is not responsible for the content, accuracy, products, services, or practices of any third-party website. Accessing third-party sites is at your own risk and subject to their respective terms of use and privacy policies.

Where Griffin facilitates introductions to third-party professionals (including lawyers, chartered accountants, company secretaries, or other specialists), such introductions are made in good faith and do not constitute an endorsement. Griffin is not a party to, and bears no liability for, any engagement, advice, or relationship between you and any such third-party professional.

11. Limitation of Liability

To the fullest extent permitted by applicable Indian law, Reliserve Corp Private Limited (trading as Griffin Consultancy), its directors, employees, and representatives shall not be liable for:

  • Any direct, indirect, incidental, consequential, or punitive loss or damage arising from your use of, or inability to use, the Portal;
  • Any errors, omissions, or inaccuracies in Portal content;
  • Any loss arising from reliance on Portal content as a substitute for licensed professional advice;
  • Any unauthorised access to or alteration of your data transmitted through the Portal;
  • Any third-party conduct facilitated through or in connection with the Portal.

Nothing in these Terms shall exclude or limit liability that cannot be excluded by law, including liability for fraud or wilful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless Reliserve Corp Private Limited, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Portal; (b) your breach of these Terms; (c) any false or misleading information submitted by you through the Portal; or (d) your violation of any applicable law or third-party right.

13. Disclaimer of Warranties

THE PORTAL AND ALL CONTENT, FEATURES, AND SERVICES THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. GRIFFIN DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. USE OF THE PORTAL IS AT YOUR OWN RISK.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or the Portal shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days of written notice, the dispute shall be subject to the exclusive jurisdiction of the competent courts at Panaji, Goa, India.

15. Modifications to These Terms

Griffin reserves the right to amend these Terms at any time. Amended Terms will be posted on the Portal with an updated effective date. Your continued use of the Portal after the posting of amended Terms constitutes your acceptance of such changes. We encourage you to review these Terms periodically.

16. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. No waiver of any provision of these Terms shall be deemed a continuing waiver of that provision or any other provision.
